## Keeping your dormant company legally compliant

If your limited company isn't trading right now, you still need to file annual accounts with Companies House to stay on the register. We prepare your dormant company accounts, file them on time, and make sure HMRC knows you're dormant so you're not pestered for tax returns you don't need to submit.

A dormant company is one with no significant accounting transactions during the year. That means no sales, no expenses, no bank activity beyond the odd filing fee or penalty. Even if nothing has happened, Companies House still expects a balance sheet and a confirmation statement every twelve months, and missing the deadline means automatic fines.

> We've filed hundreds of dormant accounts for Cardiff businesses, and we've never missed a deadline.

More information

Our process is simple. We check your company details, prepare a micro-entity balance sheet showing no transactions, complete the dormancy statement, and file everything online before your nine-month deadline. If it's your first year since incorporation, you've got 21 months from the date you registered. We also submit your annual confirmation statement and, if you haven't already, notify HMRC that the company is dormant so they stop expecting a Company Tax Return.

Most of our dormant clients are sole traders or small business owners in Cardiff and the surrounding valleys who've set up a limited company for a future project, to protect a trading name, or to hold property or intellectual assets. You might have paused trading temporarily, or you're simply keeping the structure alive while you decide what to do next. Either way, you can't just leave it. Companies House will strike you off if you ignore the filings, and that creates a mess if you ever want to trade again.

### What happens if you start trading again?

You don't need to tell Companies House the moment you restart. Your next set of accounts will simply reflect the trading activity, and we'll file full statutory accounts instead of dormant ones. If you know you're about to trade, let us know early so we can make sure your bookkeeping and VAT registration are ready to go.

**Typical timeline:** We need your signed approval and any updated director or shareholder details at least two weeks before your filing deadline. For most dormant filings, we can turn it around in a few days, but it's better not to leave it until the last minute. Late filing penalties start at £150 and double if you're repeatedly late, even if your company has done nothing all year.

We work with clients across Cardiff, from Pontypridd to Penarth, and plenty who've moved away but kept their Welsh companies registered here. If you're not sure whether your company qualifies as dormant or you've had a small amount of activity, just ask. We'll review your situation in plain English and tell you exactly what needs filing.

## Before you instruct us

These are the questions we hear most often from dormant company clients in Cardiff and across South Wales.

How much does dormant company accounts filing cost?

Our fixed fee for dormant company accounts and confirmation statement filing is £150 plus VAT. That includes everything: preparation, filing with Companies House, and HMRC dormancy notification if needed. No hidden extras.

What counts as a dormant company?

A company is dormant if it has had no significant accounting transactions during the financial year. Minor items like the £13 Companies House confirmation statement fee or a late filing penalty don't stop you being dormant, but any trading income, expenses, or bank interest will.

What happens if I miss the filing deadline?

Companies House issues automatic penalties starting at £150 for accounts filed even one day late, doubling for repeat offences. If you ignore filings completely, they'll eventually strike your company off the register, which can be expensive and complicated to reverse.

Do I need to tell HMRC my company is dormant?

Yes, and we handle that for you. Notifying HMRC means they'll stop sending you Company Tax Return notices. If you don't tell them and ignore the returns, you can be fined, even though there's no tax to pay.

Can I file dormant accounts myself?

You can, using Companies House WebFiling, but you need to get the balance sheet format right and understand what qualifies as dormant. Most clients find it simpler and less stressful to let us do it, especially for the small fixed fee involved.

How long does the filing process take?

Once we have your approval and any updated details, we typically prepare and file within a few days. Companies House usually confirms receipt within 24 hours. We recommend instructing us at least two weeks before your deadline to avoid any last-minute stress.

What if I want to start trading again?

You don't need to notify Companies House in advance. Just start trading, keep proper records, and your next accounts will be full statutory accounts instead of dormant ones. We'll help you transition smoothly, including bookkeeping setup and VAT registration if needed.

Do you work with clients outside Cardiff?

Absolutely. We're based in Cardiff and work with plenty of local businesses, but we also support dormant company clients across South Wales and beyond. As long as your company is registered in England or Wales, we can file for you.
