Keeping your company records accurate and compliant

When a director joins or leaves your business, Companies House needs to know within 14 days. Miss that deadline and you risk penalties, public record errors, and unnecessary stress. We handle the entire process for you: preparing board resolutions, director consent forms, and filing the AP01 or TM01 with Companies House so everything is submitted correctly and on time.

Most of our Cardiff clients are small business owners who need this sorted quickly and properly, without having to decode company law or navigate the WebFiling system themselves. We check your Articles of Association, prepare all the paperwork, submit the filing online, and confirm when it has been accepted, usually within 24 to 48 hours.

We make sure your statutory records are always accurate, so you can focus on running your business.

More information

What happens after we file

Once Companies House confirms the change, we update your internal statutory registers and let you know if HMRC, your bank, or any other stakeholders need notifying. If the director is on payroll, we will flag that so your payroll records stay in sync. If they hold shares or have signing authority, we will remind you to update those arrangements too.

Whether you are bringing on a business partner, replacing a retiring director, or tidying up after a resignation, the process is the same: straightforward, compliant, and handled end to end. We have worked with sole directors in Pontypridd, growing trades businesses in Barry, and multi-director companies across Cardiff, so we know the questions that come up and the details that matter.

Why it matters to get this right

Your public register at Companies House is a legal record. If it is wrong or out of date, it can cause problems with contracts, bank accounts, insurance, and HMRC. It also affects who has authority to sign on behalf of the company and who is personally liable as a director. Getting the filing done properly means no surprises later, and no frantic calls when someone checks your company details and finds them out of step.

We treat every filing with the same care, whether it is your first director appointment or your fifth change in as many years. You will always know where things stand, what has been submitted, and what happens next.

Before you get started

Here are the questions we hear most often about director appointments and resignations.

How long does the filing take?
We typically submit within one to two working days of receiving all the necessary information. Companies House usually confirms online filings within 24 to 48 hours, so the whole process is wrapped up in two to three working days.
What information do you need from me?
For an appointment, we need the new director's full name, date of birth, home address, service address, nationality, occupation, and written consent. For a resignation, we need the director's details and the effective date they are stepping down.
What happens if I miss the 14-day deadline?
Late filings can result in penalties from Companies House and leave your public records inaccurate, which can cause issues with banks, HMRC, and contracts. We make sure everything is filed on time so you never have to worry about that.
Do I need to tell anyone else after the filing?
Yes, depending on the situation. You may need to update HMRC if the director is on payroll, notify your bank if they have signing authority, and inform any stakeholders or shareholders. We will flag what needs doing once the filing is confirmed.
Can a director resign without board approval?
Generally yes, unless your Articles of Association or a shareholder agreement says otherwise. We always check your company's specific rules before proceeding, so there are no surprises.
What is the difference between AP01 and TM01?
AP01 is the form for appointing a new director. TM01 is the form for a director resignation or termination. Both must be filed with Companies House within 14 days of the change taking effect.
Do you handle updates to our statutory registers too?
Yes. Once the filing is confirmed, we update your internal registers to match the public record at Companies House, keeping everything consistent and compliant.
