If your limited company isn't trading right now, you still need to file annual accounts with Companies House to stay on the register. We prepare your dormant company accounts, file them on time, and make sure HMRC knows you're dormant so you're not pestered for tax returns you don't need to submit.
A dormant company is one with no significant accounting transactions during the year. That means no sales, no expenses, no bank activity beyond the odd filing fee or penalty. Even if nothing has happened, Companies House still expects a balance sheet and a confirmation statement every twelve months, and missing the deadline means automatic fines.

Our process is simple. We check your company details, prepare a micro-entity balance sheet showing no transactions, complete the dormancy statement, and file everything online before your nine-month deadline. If it's your first year since incorporation, you've got 21 months from the date you registered. We also submit your annual confirmation statement and, if you haven't already, notify HMRC that the company is dormant so they stop expecting a Company Tax Return.
Most of our dormant clients are sole traders or small business owners in Cardiff and the surrounding valleys who've set up a limited company for a future project, to protect a trading name, or to hold property or intellectual assets. You might have paused trading temporarily, or you're simply keeping the structure alive while you decide what to do next. Either way, you can't just leave it. What happens if you start trading again?
You don't need to tell Companies House the moment you restart. Your next set of accounts will simply reflect the trading activity, and we'll file full statutory accounts instead of dormant ones. If you know you're about to trade, let us know early so we can make sure your bookkeeping and VAT registration are ready to go.
Typical timeline: We need your signed approval and any updated director or shareholder details at least two weeks before your filing deadline. For most dormant filings, we can turn it around in a few days, but it's better not to leave it until the last minute. Late filing penalties start at £150 and double if you're repeatedly late, even if your company has done nothing all year.
